
TERMS OF SERVICE

IMPORTANT NOTICE: PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICE.
THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. SEE SECTION 14 FOR DETAILS.
1. ACCEPTANCE OF TERMS.
BY DOWNLOADING, INSTALLING, ACCESSING, OR USING THE CUECHEF MOBILE APPLICATION AND RELATED SERVICES (COLLECTIVELY, THE "SERVICE"), YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE ("TERMS"). IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE ALL USE OF THE SERVICE AND UNINSTALL THE APPLICATION.
These Terms constitute a legally binding agreement between you and Cue Chef Innovation (Hongkong) Co., Limited ("Company," "we," "us," or "our").
2. SERVICE DESCRIPTION.
2.1 The Service consists of a mobile application designed to facilitate connectivity with compatible smart cooking devices and provide cooking-related features and content.
2.2 WE RESERVE THE RIGHT TO MODIFY, SUSPEND, OR DISCONTINUE ANY ASPECT OF THE SERVICE AT ANY TIME, WITH OR WITHOUT NOTICE, TO THE EXTENT PERMITTED BY APPLICABLE LAW.
2.3 The Service may include third-party components, software, or services that are subject to separate terms and conditions.
3. ELIGIBILITY AND REPRESENTATIONS.
3.1 You represent and warrant that you are at least the age of majority in your jurisdiction and are legally capable of entering into binding contracts.
3.2 If you are using the Service on behalf of a business entity or other organization, you represent and warrant that you have the authority to bind such entity or organization to these Terms.
3.3 You represent and warrant that your use of the Service complies with all applicable laws, regulations, and third-party agreements.
4. ACCOUNT REGISTRATION AND SECURITY.
4.1 Account Creation.
Certain features of the Service may require account registration. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
4.2 Account Security.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach.
4.3 Account Termination.
We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, for any reason, including but not limited to violation of these Terms.
5. DEVICE CONNECTIVITY AND PERMISSIONS.
5.1 The Service requires certain device permissions to function properly, including but not limited to Bluetooth permissions for device connectivity.
5.2 Certain operating system versions may require location permission to enable Bluetooth scanning functionality. WE DO NOT COLLECT, STORE, OR PROCESS PRECISE LOCATION DATA. Location permission is used solely for Bluetooth functionality as required by the operating system.
5.3 Disabling required permissions may impair or prevent certain Service functionalities, including device discovery, pairing, and communication.
6. USER CONTENT.
6.1 User Responsibility.
You are solely responsible for any content you upload, submit, or transmit through the Service ("User Content"). You represent and warrant that you own or have all necessary rights to such User Content.
6.2 Prohibited Content.
You agree not to submit User Content that: (a) violates any law or regulation; (b) infringes any intellectual property right or other proprietary right; (c) contains viruses, malware, or other harmful code; (d) is defamatory, obscene, or harassing; or (e) violates the privacy rights of any third party.
6.3 License Grant.
By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content solely for the purpose of operating, maintaining, and improving the Service.
6.4 Content Removal.
We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, to be objectionable.
7. INTELLECTUAL PROPERTY RIGHTS.
7.1 Company Ownership.
The Service, including all software, algorithms, user interfaces, designs, graphics, and content provided by the Company, are the exclusive property of the Company or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws.
7.2 License Grant.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use.
7.3 Restrictions.
You may not: (a) copy, modify, or create derivative works of the Service; (b) reverse engineer, decompile, or disassemble the Service; (c) remove any proprietary notices; (d) use the Service for any illegal purpose; or (e) attempt to gain unauthorized access to the Service or related systems.
7.4 User Content Ownership.
You retain all ownership rights in your User Content. Nothing in these Terms shall be construed as transferring any intellectual property rights from you to us, except for the limited license granted in Section 6.3.
8. SAFETY WARNINGS AND DISCLAIMERS.
WARNING: COOKING INVOLVES INHERENT RISKS INCLUDING BUT NOT LIMITED TO BURNS, FIRE, AND OTHER HAZARDS.
8.1 User Responsibility.
You are solely responsible for the safe operation of any cooking devices and for following all manufacturer instructions, warnings, and safety guidelines.
8.2 No Professional Advice.
The Service may provide cooking-related information, but such information is for informational purposes only. THE SERVICE DOES NOT PROVIDE MEDICAL, DIETARY, OR PROFESSIONAL SAFETY ADVICE. Always consult with qualified professionals regarding health, safety, and dietary concerns.
8.3 Assumption of Risk.
You acknowledge and agree that your use of the Service and any cooking activities are undertaken at your own risk.
9. PROHIBITED CONDUCT.
You agree not to:

Use the Service for any illegal purpose or in violation of any applicable law;

Attempt to gain unauthorized access to the Service or related systems;

Interfere with or disrupt the integrity or performance of the Service;

Transmit any viruses, malware, or other harmful code;

Use the Service to harass, abuse, or harm others;

Impersonate any person or entity;

Collect or harvest any information from the Service;

Use the Service in any manner that could damage, disable, overburden, or impair the Service; or

Encourage or enable any other person to do any of the foregoing.
10. DISCLAIMER OF WARRANTIES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that: (a) the Service will meet your requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results obtained from using the Service will be accurate or reliable; or (d) any errors in the Service will be corrected.
11. LIMITATION OF LIABILITY.
11.1 Exclusion of Damages.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.
11.2 Cap on Liability.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED ONE HUNDRED HONG KONG DOLLARS (HKD 100.00).
11.3 Basis of the Bargain.
The limitations of liability in this Section 11 are fundamental elements of the basis of the agreement between you and the Company.
12. INDEMNIFICATION.
You agree to defend, indemnify, and hold harmless the Company, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property right; or (d) your violation of any applicable law.
13. TERMINATION.
13.1 Termination by Company.
We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to if you breach these Terms.
13.2 Effect of Termination.
Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
14. GOVERNING LAW AND DISPUTE RESOLUTION.
14.1 Governing Law.
These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law provisions.
14.2 Arbitration Agreement.
ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED BY BINDING ARBITRATION RATHER THAN IN COURT, EXCEPT THAT YOU MAY ASSERT CLAIMS IN SMALL CLAIMS COURT IF YOUR CLAIMS QUALIFY.
14.3 Arbitration Rules.
The arbitration shall be conducted by the Hong Kong International Arbitration Centre (HKIAC) under its rules then in effect.
14.4 Class Action Waiver.
YOU AGREE THAT ANY ARBITRATION SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
14.5 Venue.
Any arbitration hearing will take place in Hong Kong, unless otherwise agreed by the parties.
15. MODIFICATIONS TO TERMS.
We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through the Service or by other means. YOUR CONTINUED USE OF THE SERVICE AFTER SUCH MODIFICATIONS CONSTITUTES YOUR ACCEPTANCE OF THE MODIFIED TERMS.
16. GENERAL PROVISIONS.
16.1 Entire Agreement.
These Terms constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements and understandings.
16.2 Severability.
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
16.3 No Waiver.
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
16.4 Assignment.
You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
16.5 Force Majeure.
We shall not be liable for any failure to perform our obligations hereunder where such failure results from any cause beyond our reasonable control.
